Freelance administration is an atypical, hybrid form of employment that combines the autonomy and flexibility of self-employment with the benefits and protection of employee status.

This means that freelance administration is a three-way relationship involving the following three parties:

A self-employed consultant (known as a porter)

Freelance administration involves a self-employed person seeking out and negotiating assignments with client companies (negotiating the terms, duration and price of the assignment).

The employment contract (with the freelance administration company)

The commercial contract (with the client company)

The freelance administration company is bound to the client company by a commercial contract, based on the information provided by the freelance employee. It also handles the invoicing of the assignment to the client company and frees the freelance worker from various administrative constraints.
Please note: portage should not be confused with temporary work. The specific feature of this tripartite relationship is that the freelance administration company does not provide the work for the freelance employee, who works completely independently and receives no instructions from the freelance administration company as to how to carry out the assignment. Freelance administration under both Spanish and French law is a regulated activity, and requires a set of professional insurance and financial guarantee contracts in order to obtain approval. We have all the authorisations, insurance and guarantees required for this specific activity.

What is a legal representative in Spain for non-residents?

A legal representative in Spain has the power granted by law to act on behalf of another person. These representatives act on behalf of those who do not have the capacity to act, those who hold ownership of the representative bodies of legal persons (such as company directors) and anyone representing entities without legal personality.

What is a tax representative in Spain for non-residents?

A tax representative enables companies not established in Spain to operate as a buyer and seller on Spanish territory. This is a natural or legal person domiciled in Spain who becomes the contact person for the Spanish authorities.

Is it compulsory for a non-resident citizen to appoint a legal and tax representative in Spain?

Yes, there are cases where the appointment of a legal and tax representative is compulsory for non-residents. This includes the following situations:

  • If you have a permanent establishment in Spain. Certain expenses may be deducted to determine the tax base subject to tax in Spain.
  • If an entity subject to the income distribution regime established abroad carries out an economic activity on Spanish territory.
  • If expressly required by the tax authorities.

Voluntary representation occurs by the will of the represented party and not by legal obligation. It is evidenced by any means permitted by law, such as standardised documents or a power of attorney if necessary.
